Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Resonant Consulting, LLC, an Ohio limited liability company ("Company," "we," "us," or "our"), governing your access to and use of Bio-Logic (the "Service"), including any associated websites, applications, software, and content.

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

The Service is an AI-powered conversational tool designed to help users explore potential relationships between life experiences and the manifestation of emotional and physical symptom patterns. The Service is intended for informational, educational, and self-reflective purposes only.

THE SERVICE IS NOT A MEDICAL DEVICE, NOT A THERAPEUTIC SERVICE, AND DOES NOT PROVIDE MEDICAL, PSYCHOLOGICAL, PSYCHIATRIC, OR MENTAL HEALTH ADVICE, DIAGNOSIS, OR TREATMENT. See our separate Medical Disclaimer for additional important information.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent and warrant that:

  • You are of legal age to form a binding contract;
  • You have the legal capacity to enter into these Terms;
  • You are not prohibited from using the Service under applicable law;
  • You are not located in, under the control of, or a national or resident of any country subject to U.S. embargoes or designated on any U.S. government list of prohibited or restricted parties.

4. Account Registration and Security

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your information;
  • Maintain the confidentiality of your login credentials;
  • Notify us immediately of any unauthorized use of your account;
  • Accept responsibility for all activities under your account.

We reserve the right to suspend or terminate accounts at our sole discretion.

5. Acceptable Use

You agree NOT to:

  • Use the Service in any unlawful manner or for any unlawful purpose;
  • Use the Service to harm yourself or others, or in lieu of seeking emergency assistance;
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service;
  • Access the Service through automated means (bots, scrapers, etc.) without our written consent;
  • Interfere with or disrupt the Service or servers;
  • Upload or transmit viruses, malware, or other harmful code;
  • Impersonate any person or misrepresent your affiliation with anyone;
  • Use the Service to harass, abuse, or harm another person;
  • Use the Service to collect or harvest information about other users;
  • Use Service outputs to train competing AI models;
  • Resell, sublicense, or commercially exploit the Service without our written permission.

6. User Content

"User Content" means any information, text, or other materials you submit to the Service, including your conversation inputs.

License to Us. You grant Company a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, modify, and process your User Content solely to: (a) operate and provide the Service to you; (b) improve and develop the Service, subject to the de-identification and privacy commitments in our Privacy Policy; and (c) comply with legal obligations.

Your Responsibility. You are solely responsible for your User Content. You represent that you have all rights necessary to submit it and that doing so does not violate any law or third-party rights.

7. Feedback

If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant Company a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, and incorporate the Feedback for any purpose, without compensation or attribution.

8. Intellectual Property

The Service, including all software, text, graphics, designs, and other content (excluding User Content), is owned by Company or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

9. AI-Generated Output Disclaimer

The Service uses artificial intelligence to generate responses. You acknowledge and agree that:

  • AI-generated content may be inaccurate, incomplete, biased, or otherwise inappropriate;
  • The Service does not "understand" you the way a human does and cannot detect emergencies, distress signals, or clinical conditions;
  • You should not rely on Service outputs as definitive, expert, or professional advice;
  • Outputs may vary across sessions and may contradict prior outputs;
  • You are solely responsible for any decisions you make based on Service outputs.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WITHOUT LIMITING THE FOREGOING, COMPANY MAKES NO WARRANTY THAT:

  • The Service will meet your requirements;
  • The Service will be uninterrupted, timely, secure, or error-free;
  • The results obtained from the Service will be accurate or reliable;
  • Any errors in the Service will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY, ITS AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

COMPANY'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Company and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another; or (d) your User Content.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 6, 7, 8, 10, 11, 12, 14, and 15) shall survive.

14. Dispute Resolution and Arbitration

PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS under its applicable rules, rather than in court, except that you may assert claims in small-claims court if your claims qualify.

Class Action Waiver. You and Company agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Opt-Out. You may opt out of arbitration by sending written notice to resonantconsulting@protonmail.com within 30 days of first accepting these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. Subject to Section 14, any actions shall be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to personal jurisdiction therein.

16. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last Updated" date or by other reasonable means. Your continued use of the Service after changes become effective constitutes acceptance.

17. Subscriptions, Billing, and Refunds

The Service offers a free tier with limited features and one or more paid subscription plans ("Paid Plans"), currently the "Companion" plan at $149 per month or $1,499 per year. Prices are in U.S. dollars and are exclusive of any applicable taxes, which you are responsible for paying.

Fair Use of "Unlimited" Plans. Paid Plans described as "unlimited" are intended for ordinary, personal use by a single individual account holder — including journeys the account holder opens for people in their own care. "Unlimited" does not permit: automated, scripted, or programmatic access; bulk or high-volume use beyond what a typical individual would generate; sharing, reselling, or providing access to others outside your account; operating the Service on behalf of third parties; or use that places an unreasonable burden on the Service or is intended to circumvent these Terms. We may apply reasonable technical limits (such as rate limits) and, where we observe use that materially exceeds normal individual use or otherwise violates this section, we may contact you, apply limits, or suspend or terminate the account, in each case acting reasonably and, where practicable, with notice.

Payment Processing. Paid Plans are billed through our third-party payment processor, Stripe, Inc. By subscribing, you authorize us and Stripe to charge your selected payment method, and you agree to Stripe's applicable terms. We do not store your full payment card details.

Automatic Renewal. Paid Plans renew automatically at the end of each billing period (monthly or annually, as selected) at the then-current price, until you cancel. You authorize these recurring charges.

Cancellation. You may cancel at any time through your account settings or the billing portal. Cancellation takes effect at the end of your current billing period; you retain access to Paid Plan features until then, and you will not be charged for subsequent periods.

14-Day Money-Back Guarantee. If you are a new subscriber and are not satisfied, you may request a full refund of your initial subscription payment by contacting us at resonantconsulting@protonmail.com within fourteen (14) days of that initial payment.

Other Refunds. Except for the money-back guarantee above and where required by applicable law, subscription payments are non-refundable, and we do not provide refunds or credits for partial billing periods or unused portions of a subscription.

Price Changes. We may change subscription prices or the features included in any plan. Price changes apply to billing periods after we provide notice (for example, by email or by posting updated pricing). Your continued subscription after a change takes effect constitutes acceptance of the new price.

Failed Payments. If a payment fails, we may retry the charge and may suspend, downgrade, or terminate your access to Paid Plan features until payment is resolved. The free tier is provided as-is and may be modified, limited, or discontinued at any time.

18. Miscellaneous

  • Entire Agreement. These Terms, along with the Privacy Policy and any other policies referenced, constitute the entire agreement between you and Company.
  • Severability. If any provision is found unenforceable, the remaining provisions shall remain in full force.
  • No Waiver. Failure to enforce any right under these Terms is not a waiver of that right.
  • Assignment. You may not assign these Terms. We may assign these Terms without restriction.
  • Force Majeure. We are not liable for failures caused by events beyond our reasonable control.
