Beta Tester Agreement — Bio-Logic for Practitioners

This Beta Tester Agreement ("Agreement") is between Resonant Consulting, LLC ("Company," "we," "us") and the practitioner accepting this Agreement ("Tester," "Practitioner," "you"). This Agreement governs your participation in the beta program for Bio-Logic for Practitioners (the "Beta Service").

By clicking "I Agree," accessing the Beta Service, or otherwise participating in the beta program, you accept these terms. If you do not agree, do not access the Beta Service.

This Agreement supplements the Practitioner Terms of Service, Practitioner Privacy Policy, Medical Disclaimer, and Practitioner Code of Use. In case of conflict for matters specific to beta participation, this Agreement controls.

1. Beta Service Acknowledgment

You acknowledge and understand that:

The Beta Service is a pre-release, prototype version provided for testing and evaluation purposes;
The Beta Service may contain bugs, errors, defects, inaccuracies, security vulnerabilities, and incomplete features;
The Beta Service may produce unexpected, unreliable, offensive, or inappropriate outputs;
The Beta Service may be modified, suspended, or discontinued at any time without notice;
Your data may be lost, and we make no commitment regarding preservation of accounts, conversations, or other content during the beta;
The Beta Service should NOT be relied upon for any mission-critical, sensitive, or high-stakes purpose, and outputs must not be presented to your clients as professional advice.

2. Practitioner-Specific Acknowledgments

You specifically acknowledge that:

You are not a licensed clinical professional using the Beta Service in your licensed capacity;
You will input only de-identified information about your clients, as required by Section 5 of the Practitioner Terms of Service;
You have read and accept the Medical Disclaimer and the Practitioner Code of Use;
You will NOT use the Beta Service in place of professional medical, psychological, or psychiatric care for yourself or any client;
You will NOT use the Beta Service in a mental health emergency or crisis, whether yours or a client's; in such situations, the affected person should contact emergency services or a crisis hotline (in the U.S., call or text 988 for the Suicide and Crisis Lifeline; dial 911 for emergencies);
You are participating voluntarily and assume all risks associated with using an AI tool to support your professional reflection;
You will not present Beta Service outputs to clients as advice, diagnosis, or treatment of any kind.

3. Confidentiality

The Beta Service and all related materials (including features, performance characteristics, user interfaces, and any information you learn through your participation) are confidential information of Company ("Confidential Information").

You agree to:

Maintain Confidential Information in strict confidence;
Not disclose Confidential Information to any third party, including your clients;
Not publicly demonstrate, screenshot, livestream, post on social media, or publish reviews of the Beta Service without our prior written consent;
Use Confidential Information only for purposes of your participation in the beta program.

These obligations continue for TWO (2) YEARS after termination of your participation or until the information becomes publicly available through no fault of yours.

4. Feedback

We value your feedback. You agree to:

Provide timely, good-faith feedback when reasonably requested;
Report bugs, errors, and issues by email to resonantconsulting@protonmail.com;
Respond to surveys and interview requests as feasible.

Feedback License. You grant Company a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, incorporate, and otherwise exploit any feedback, suggestions, ideas, reports, or other input you provide ("Feedback") for any purpose, without compensation, attribution, or other obligation to you. You waive any moral rights in Feedback to the fullest extent permitted by law. Feedback must not itself contain identifiable client information.

5. License to Use the Beta Service

Subject to your compliance with this Agreement, Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Beta Service for your personal professional testing and evaluation purposes during the beta period.

You agree NOT to:

Use the Beta Service as part of a paid service you offer to your clients without our written consent;
Share your access credentials or allow others to use the Beta Service through your account;
Reverse engineer, decompile, or attempt to extract the underlying technology;
Use the Beta Service to develop a competing product;
Use outputs of the Beta Service to train AI models;
Use the Beta Service in any unlawful manner;
Input any information about a client without first de-identifying it as required.

6. No Compensation

Unless we expressly agree otherwise in writing, you will not be compensated for your participation, Feedback, or any contribution to the Beta Service.

7. NO WARRANTIES

THE BETA SERVICE IS PROVIDED "AS IS," WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OPERATION.

YOU USE THE BETA SERVICE AT YOUR SOLE RISK, AND AT THE RISK OF ANY PROFESSIONAL CONSEQUENCES FROM YOUR USE OF IT IN CONNECTION WITH YOUR PRACTICE.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE BETA SERVICE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COMPANY'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT OR THE BETA SERVICE SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless Company and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your breach of this Agreement; (b) your misuse of the Beta Service; (c) any content you submit, including any failure to de-identify; (d) any claim brought by a client of yours arising from your use of the Beta Service in connection with that client; or (e) your violation of any law or third-party rights.

10. Term and Termination

This Agreement begins when you accept it and continues until the end of the beta period or until terminated. Either party may terminate at any time for any reason. We may terminate immediately upon any actual or suspected violation of the de-identification requirement. Upon termination, you must stop using the Beta Service and delete any related materials in your possession. Sections 3, 4, 6, 7, 8, 9, and 11 survive termination.

11. Governing Law and Disputes

This Agreement is governed by the laws of the State of Ohio, without regard to its conflict of laws provisions. Disputes will be resolved in accordance with the dispute resolution provisions of our Practitioner Terms of Service.

12. General

Entire Agreement. This Agreement, together with the Practitioner Terms of Service, Practitioner Privacy Policy, Medical Disclaimer, and Practitioner Code of Use, constitutes the entire agreement regarding the Beta Service.
Modifications. We may modify this Agreement; we will provide reasonable notice of material changes. Continued participation after the effective date constitutes acceptance.
Severability. If any provision is unenforceable, the remaining provisions remain in effect.
Assignment. You may not assign this Agreement. Company may assign without restriction.
No Agency. This Agreement does not create any partnership, agency, joint venture, or employment relationship.
